Terms of Service

Präamble
These Terms of Service govern the contractual relationship between Zuugle Services GmbH, Neumayrgasse 26/37, 1160 Vienna, Austria (hereinafter "the Provider") and the users (hereinafter "the User") of the "Diana GreenConnect" service (hereinafter "the Service").
§ 1 Scope of Application
These Terms of Service apply exclusively to the use of the Diana GreenConnect Service.
2. In addition, the General Terms and Conditions (T&Cs) of the Provider shall apply. In the event of a conflict, the provisions of these Terms of Service shall prevail.
§ 2 Subject Matter of the Contract
1. Zuugle Services provides the User with the "Diana GreenConnect" Service, a software widget for integration into the User's website.
2. The Service enables the end users of the User's website to plan arrival and departure routes using public transport from a starting address to a destination and back.
3. The Service can be integrated as a WordPress plugin or as a JavaScript snippet. An API is also available for developers.
4. "Last Mile" offers are integrated into the Zuugle Services database with the customer's required cooperation.
§ 3 Registration and Conclusion of Contract
1. Use of the Service requires the User to register, during which a Client ID and a Client Secret will be generated.
2. The contract for the use of the Service is concluded upon the User's completion of the registration process and their acceptance of these Terms of Service.
3. The User is obligated to provide truthful and complete information during registration and to keep this information up to date.
§ 4 Scope of Services and Plans
The provider offers the service in the following plans and components:
1. Concierge Package:
+ Limited to one physical location: e.g., a hotel, a ski resort, an event centre.
+ 50,000 queries per 12 months are available to the user at no additional cost (this typically corresponds to approx. 2,500,000 page views). Above this limit speed of service will be reduced.
+ A "query" is defined as any click on the "Search" button by an end user.
+ The Concierge Package includes the setup of one "Last Mile" route that runs from A to B – e.g., from the train station to the hotel, with one start point, one end point, and no intermediate stops.
2. Bespoke Package::
+ No limitation on locations.
+ An unlimited number of "Last Mile" offers can be integrated. The setup is billed hourly (€ 100 per hour).
+ For the Bespoke Package, the "worry-free usage" limit is determined by the annual price: Euro value x 100 = number of queries / year (e.g., € 2,500 x 100 = 250,000 queries). Above this limit speed of service will be reduced.
+ Optional: Real-time Add-on Austria: An optional real-time add-on for Austria can be booked, which displays real-time data (e.g., delays). This is billed separately per 1,000 real-time queries (or part thereof). In the rest of Europe, real-time data (where available) is included in the standard queries, only in Austria we have to purchase these on top at a cost.
§ 5 Prices and Billing Methods
1. All quoted prices are net prices and do not include the statutory value-added tax (VAT).
2. Billing for the Concierge and Bespoke Packages occurs annually.
3. Invoicing for hours worked will be done monthly in arrears.
4. The price for standard queries is € 24 per 1,000 queries.
5. Real-time queries for Austria are not automatically included in any package and will always be charged at € 54 per 1,000 real-time queries per month.
6. Invoices are due for payment in full within 14 days.
§ 6 User Obligations
1. The User is responsible for the secure storage of their access credentials (Client ID, Client Secret).
2. The User is responsible for the correct technical integration of the widget on their website in accordance with the provided documentation.
3. Any use of the Service that is abusive, unlawful, or endangers the system integrity of the Provider is prohibited.
§ 7 Rights of Use
1. For the duration of the contract, the Provider grants the User a non-exclusive, non-transferable right to integrate the Diana GreenConnect Service on their website(s) and make it available to end users. All rights to the software and the Service remain with the Provider.
2. As part of using the Diana GreenConnect product, the User is permitted to modify, adapt, and integrate the JavaScript widget and the WordPress plugin into their own web projects at their discretion.
3. This freedom of use and modification is conditional upon the link with the label "powered by Zuugle Services" always remaining clearly visible and pointing to the web address https://zuugle-services.com. Removing, hiding, or altering this link in such a way that it is no longer clearly visible or functional constitutes a breach of these Terms of Service and may lead to the suspension of the Service.
§ 8 Liability and Availability
1. The Provider is not liable for the accuracy, completeness, or timeliness of the timetable data supplied by transport authorities and third-party providers.
2. The Provider shall endeavour to ensure the highest possible availability of the Service, but cannot guarantee uninterrupted accessibility. Where possible, maintenance work will be carried out outside of peak usage times.
3. To the extent permitted by law, the liability of the Provider is limited to cases of intent and gross negligence.
§ 9 Term and Termination
1. The contract for the Concierge and the Bespoke Package is concluded for an indefinite period and can be terminated by either party at any time, without giving reasons, up to one month before its renewal.
2. Notice of termination must be given in writing (e.g., by email to office@zuugle-services.com).
§ 10 Data privacy
The protection of personal data is governed by the Provider's separate Privacy Policy, which is available on the website.
